Terms of Service for Topiqal

Agreement to Terms

By accessing or using the Topiqal mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms apply to all users of Topiqal.

Description of Service

Topiqal is a social networking app that allows users to:

• Submit conversation topics, optionally with a link (for example, a book or article)
• Rate topics on a three-level interest scale (Interested, Very Interested, Can't Wait)
• Connect with other users to form a personal network
• See which topics they have in common with their connections
• Share topics privately with, or tag, specific connections
• Explore public topics from all users
• Report content and block other users

The App is designed to help users discover interesting conversation topics for real-world conversations.

Eligibility

You must be at least 13 years old to use Topiqal. By using the App, you represent that you are at least 13 years old.

If you are under 18, you represent that you have permission from a parent or guardian to use the App.

Account Registration

To use Topiqal, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password
• Notify us immediately of unauthorized use of your account
• Not share your account with others
• Not create multiple accounts for yourself
• Not impersonate another person

You are responsible for all activity under your account.

User Content

What You Can Submit

You may submit conversation topics (text with a category, and optionally a link) through the App. You are responsible for the content you submit, including any link you add and the page it points to.

Content Ownership

You retain ownership of the content you submit. By submitting content, you grant Topiqal and other users:

• A worldwide, non-exclusive, royalty-free license to use, display, and distribute your content within the App
• Permission for other users to view and rate your content
• Permission for us to include your content in aggregated ratings and statistics

Content Guidelines

There is no tolerance for objectionable content or abusive users. Content or behavior that breaks these guidelines is removed, and accounts responsible may be suspended or permanently removed without notice.

You agree NOT to submit content (including links) that:

• Violates any law or regulation
• Infringes on intellectual property rights
• Contains hate speech, harassment, or threats
• Promotes violence or self-harm
• Contains sexually explicit material
• Is spam, advertising, or promotional material
• Impersonates another person
• Contains personal information of others without consent
• Is intentionally false or misleading
• Links to pages that are harmful, deceptive, or would themselves break these guidelines

Content Moderation

We may:

• Review user-submitted content
• Remove content that violates these Terms
• Suspend or permanently remove accounts that violate these Terms

We review reports within 24 hours and remove content that violates these Terms, along with suspending or removing the accounts responsible.

Reporting Content and Blocking Users

• Report a topic from its ⋯ menu, or a person from the ⋯ menu on their profile. Reports go to the Topiqal team and are never shown to the person you report.
• Block a person from their profile, or a topic's author from the topic's ⋯ menu. You won't see each other's topics or be able to connect, and any connection or private sharing between you ends. They aren't told. You can unblock people under Profile → Blocked.
• You can also report content by emailing support@topiqal.io.

Ratings and Network Connections

Rating System

• You may rate topics on a three-level interest scale
• Ratings contribute to both network-specific and global scores
• You cannot rate your own topics
• You may change your rating at any time

Network Connections

• You may send connection requests to other users
• Users may accept or decline connection requests
• You may see topics submitted by users in your network
• You may disconnect from users at any time; disconnecting ends any private topic sharing between you
• You may block users at any time (see "Reporting Content and Blocking Users")

Invite Codes

• You may generate invite codes to invite others to Topiqal
• Invites automatically create a connection when accepted
• Invite codes are single-use

Prohibited Conduct

You agree NOT to:

• Use the App for illegal purposes
• Harass, threaten, or harm other users
• Scrape, mine, or collect data from the App using automated tools
• Reverse engineer, decompile, or disassemble the App
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the App's operation
• Create accounts using automated methods or false information
• Use the App to distribute spam or malware
• Violate any applicable laws or regulations

Intellectual Property

Topiqal and its original content (excluding user-submitted topics), features, and functionality are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works of the App without permission.

Third-Party Services

The App uses third-party services including:

• Supabase (backend and authentication)
• Expo (development platform and push notifications)
• Resend (email delivery for reports)
• Vercel (website hosting)

Your use of these services is subject to their respective terms of service.

Disclaimers and Limitation of Liability

"As Is" Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee of Service

We do not guarantee that:

• The App will be uninterrupted, secure, or error-free
• The App will meet your requirements
• User-submitted content is accurate or reliable
• Defects will be corrected

User Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

• Your use of conversation topics in real-world conversations
• Evaluating the accuracy and appropriateness of user-submitted content
• Your interactions with other users

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Service interruptions or data loss
• User-submitted content or conduct of other users

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 USD OR THE AMOUNT YOU PAID TO USE THE APP (CURRENTLY $0), WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless Topiqal from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Content you submit to the App

Account Suspension and Termination

Our Right to Terminate

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse or harassment of other users
• Any other reason at our sole discretion

Your Right to Terminate

You may delete your account at any time in the app under Profile → Delete Account, or by contacting us at support@topiqal.io. Deletion is permanent (see Privacy Policy).

Effect of Termination

Upon termination:

• Your access to the App will be revoked
• If you delete your account, your data is permanently deleted as described in the Privacy Policy
• Provisions of these Terms that should survive termination will remain in effect

Changes to Terms

We may update these Terms from time to time. Changes will be posted in the App with an updated "Last Updated" date.

Continued use of the App after changes constitutes acceptance of the updated Terms.

For material changes, we will provide additional notice (such as an in-app notification or email).

Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

Informal Resolution

Before filing a legal claim, you agree to contact us at support@topiqal.io to attempt to resolve the dispute informally.

Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court.

Exception for Small Claims

You may bring a claim in small claims court if it qualifies.

No Class Actions

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Topiqal regarding the App.

No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

Future Features

When we implement additional features (such as phone authentication), we may update these Terms accordingly. We will notify you of material changes.

Feedback

If you provide feedback or suggestions about the App, we may use them without obligation to compensate you.

App Store Terms

Your use of the App is also subject to the terms and conditions of the app store from which you downloaded it (Apple App Store or Google Play Store).
